By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services. We reserve the right to modify these Terms at any time, and your continued use of the Services after such modifications constitutes your acceptance of the modified Terms.
2. Eligibility and Account Registration
To use our Services, you must be at least 18 years old or have the consent of a parent or legal guardian. By creating an account, you represent and warrant that:
- You are legally capable of entering into binding contracts
- All registration information you submit is accurate, current, and complete
- You will maintain the accuracy of such information
- You will not create an account using false or fraudulent information
- You will not create multiple accounts for the same individual
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.
3. Course Enrollment and Access
When you enroll in a course or program through EduFlex Academy, you are granted a limited, non-exclusive, non-transferable license to access and view the course content for personal, non-commercial use only. This license is subject to the following conditions:
- Individual Enrollment: Course access is granted to the individual who enrolls and may not be shared with others unless explicitly permitted in corporate or group licensing agreements.
- Access Duration: Most courses provide lifetime access unless otherwise specified. Corporate training programs may have time-limited access based on the agreement terms.
- Content Updates: We may update, modify, or discontinue course content at our discretion. Where possible, we will provide notice of significant changes.
- Prerequisites: Some courses may have prerequisites or recommended background knowledge. It is your responsibility to ensure you meet these requirements.
- Technical Requirements: You are responsible for ensuring you have the necessary hardware, software, and internet connectivity to access our Services.
4. Payment and Pricing
All prices for courses and services are listed in U.S. Dollars unless otherwise specified. We reserve the right to modify pricing at any time, but price changes will not affect enrollments already purchased. Payment terms include:
- Payment Methods: We accept major credit cards, debit cards, and other payment methods as displayed during checkout.
- Authorization: By providing payment information, you authorize us to charge the specified amount to your payment method.
- Subscription Services: If you enroll in a subscription-based service, you will be automatically charged at the beginning of each billing cycle until you cancel.
- Corporate Billing: Enterprise clients may arrange for invoice-based billing under separate agreements.
- Taxes: Prices do not include applicable sales tax, VAT, or other governmental taxes or fees, which will be added where required by law.
- Currency Conversion: If your payment is processed in a currency other than U.S. Dollars, your bank or payment provider may charge currency conversion fees.
5. Refund and Cancellation Policy
We want you to be satisfied with your learning experience. Our refund policy is designed to be fair to both students and instructors:
- 30-Day Money-Back Guarantee: For individual course purchases, you may request a full refund within 30 days of purchase if you have completed less than 30% of the course content.
- Subscription Cancellations: You may cancel a subscription at any time. Cancellations will take effect at the end of the current billing period, and you will retain access until that time. No refunds are provided for partial billing periods.
- Corporate Training: Refund terms for corporate training programs are governed by the specific agreement between EduFlex Academy and the organization.
- Exceptions: Certain courses, bundles, or promotional offers may have different refund terms, which will be clearly disclosed at the time of purchase.

6. Intellectual Property Rights
All content available through the Services, including but not limited to text, graphics, logos, videos, audio files, software, and course materials (collectively, "Content"), is the property of EduFlex Academy or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Permitted uses of Content include:
- Viewing and accessing Content for personal educational purposes
- Downloading course materials designated as downloadable for offline study
- Taking notes and creating personal study materials based on course content
Prohibited uses include:
- Recording, screen-capturing, or otherwise reproducing video or audio content
- Sharing account credentials or course access with others
- Creating derivative works based on our Content without permission
- Using Content for training or teaching others in a commercial context
- Removing or altering any copyright, trademark, or proprietary notices
7. User-Generated Content and Community Guidelines
Our platform may allow you to submit, post, or share content such as comments, questions, project submissions, and forum discussions ("User Content"). By submitting User Content, you grant EduFlex Academy a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and distribute such content in connection with our Services.
You agree that your User Content will not:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Contain false, misleading, or fraudulent information
- Include harassment, hate speech, or discriminatory content
- Contain spam, advertising, or promotional materials
- Include malicious code, viruses, or harmful software
- Violate the privacy or publicity rights of others
We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, and to suspend or terminate accounts that repeatedly violate our community guidelines.
8. Certifications and Credentials
Upon successful completion of certain courses or programs, you may receive a certificate of completion issued by EduFlex Academy. Please note:
- Non-Accredited: Unless explicitly stated, EduFlex Academy is not an accredited educational institution, and our certificates do not represent college credit or formal degrees.
- Industry Recognition: While many of our certificates are recognized by employers and industry organizations, we cannot guarantee acceptance by specific institutions or employers.
- Third-Party Certifications: Some courses prepare you for third-party professional certifications (e.g., AWS, PMP). Passing our course does not guarantee you will pass the third-party examination.
- Verification: Employers or other parties may verify the authenticity of your certificate through our verification system.
- Revocation: We reserve the right to revoke certificates if we discover evidence of cheating, plagiarism, or other violations of academic integrity.
9. Corporate and Enterprise Services
Organizations that engage EduFlex Academy for corporate training or workforce development services are subject to additional terms specified in their Master Services Agreement or Enterprise License Agreement. These terms may include:
- Custom pricing and billing arrangements
- Service level agreements (SLAs)
- Data protection and privacy provisions
- Intellectual property ownership of custom content
- Warranty and indemnification terms
In the event of a conflict between these Terms and an Enterprise Agreement, the Enterprise Agreement shall prevail for that specific customer.
10. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.
Key privacy commitments include:
- We will not sell your personal information to third parties
- We use industry-standard security measures to protect your data
- You have the right to access, correct, or delete your personal information
- We comply with applicable data protection laws, including GDPR and CCPA
11. Disclaimers and Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
EduFlex Academy does not warrant that:
- The Services will meet your specific requirements or expectations
- The Services will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Services will be accurate or reliable
- Any errors in the Services will be corrected
- The quality of courses, content, or information will meet your expectations
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO EDUFLEX ACADEMY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF NO PAYMENT WAS MADE.
12. Indemnification
You agree to indemnify, defend, and hold harmless EduFlex Academy, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Content or any content you submit
- Your violation of any applicable laws or regulations
13. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent or illegal activity
- Requests from law enforcement or government agencies
- Discontinuation or material modification of the Services
- Technical or security issues
- Extended periods of inactivity
You may terminate your account at any time by contacting our support team. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court for violations of intellectual property rights.
You and EduFlex Academy agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, both parties waive any right to a jury trial.
15. General Provisions
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Services, constitute the entire agreement between you and EduFlex Academy regarding the Services.
Force Majeure: We shall not be liable for any failure to perform our obligations where such failure results from any cause beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, or acts of God.
